Company Law & IBC
Corporate governance, insolvency proceedings, and company law compliance before the NCLT.
Company law and insolvency are closely linked in practice. We advise on corporate governance and compliance and appear before the National Company Law Tribunal in insolvency, winding-up, and oppression and mismanagement proceedings.
Under the Companies Act, 2013, our work covers incorporation and structuring, board and shareholder matters, statutory compliance, and disputes between shareholders and between shareholders and the company. We act in oppression and mismanagement petitions, class action suits, and applications to the NCLT under the Companies Act.
Under the Insolvency and Bankruptcy Code, 2016, we represent financial creditors, operational creditors, and corporate debtors in the corporate insolvency resolution process. We file and defend applications to initiate the CIRP, advise resolution professionals and committee of creditors, and act in liquidation proceedings. We also handle personal insolvency matters under Part III of the Code.
Where a company is to be wound up voluntarily or by the court, we advise on the process and act in the proceedings. Appeals from the NCLT go to the National Company Law Appellate Tribunal, and from there to the Supreme Court of India on questions of law, and we appear at each level.
